Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Waypoint platform ("Service"), operated by Meridian 360 Destination Management ("Waypoint," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not access or use the Service.


1. Description of Service

Waypoint provides a cloud-based arrival operations platform designed for event teams, destination management companies (DMCs), corporate travel operations, and related organizations.

  • Flight tracking and arrival status monitoring
  • Passenger manifest management
  • Field access and device sessions
  • Role-based user permissions
  • Operational analytics

Waypoint reserves the right to modify or improve the Service at any time.

2. Accounts and Access

Account Responsibility

  • Maintaining the confidentiality of login credentials
  • All activity occurring under your account
  • Ensuring only authorized users access the Service

You must notify Waypoint immediately of any unauthorized use.

User Roles

Access to certain features may depend on assigned roles (for example: Admin, Operations, Field Viewer). You are responsible for assigning appropriate permissions within your organization.

3. Subscription and Fees

Paid Plans

Access to certain features requires a paid subscription. Pricing is described on the Pricing page and may be updated from time to time.

Billing

Fees are billed in advance on a monthly or annual basis. All payments are non-refundable unless otherwise required by law.

Changes to Pricing

Waypoint may update pricing with reasonable prior notice. Continued use of the Service after pricing changes constitutes acceptance.

4. Acceptable Use

You agree not to:

  • Reverse engineer, copy, or modify the Service
  • Attempt to bypass security measures
  • Use the Service to develop competing software
  • Share access credentials outside your authorized organization
  • Upload malicious code or attempt to disrupt operations

Waypoint reserves the right to suspend accounts violating these Terms.

5. Customer Data

Ownership

You retain ownership of data you upload to the Service, including passenger manifests and operational notes ("Customer Data").

License to Process Data

You grant Waypoint a limited license to process Customer Data solely to provide the Service.

Responsibility

You are responsible for ensuring you have lawful rights to upload and process Customer Data.

6. Confidentiality

The Service, its software, architecture, documentation, and non-public features constitute confidential information. You agree not to disclose or share confidential information without written permission.

7. Security

Waypoint implements commercially reasonable security safeguards, including encrypted connections and access controls. However, no system can guarantee absolute security.

8. Service Availability

Waypoint strives for high availability but does not guarantee uninterrupted access. We may temporarily suspend the Service for maintenance, upgrades, or emergency response.

9. Term and Termination

Termination by You

You may cancel your subscription at any time. Access will continue until the end of the current billing cycle.

Termination by Waypoint

Waypoint may suspend or terminate access for violation of these Terms, non-payment, security threats, or fraudulent activity.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." Waypoint makes no warranties, express or implied, including merchantability, fitness for a particular purpose, or uninterrupted operation.

11. Limitation of Liability

To the maximum extent permitted by law, Waypoint shall not be liable for indirect, incidental, special, or consequential damages. Waypoint's total liability shall not exceed the total fees paid by you in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Waypoint from any claims arising from your misuse of the Service, violation of these Terms, or improper handling of Customer Data.

13. Governing Law

These Terms shall be governed by the laws of the State of Ohio. Any disputes shall be resolved in courts located in Ohio.

14. Changes to Terms

Waypoint may update these Terms from time to time. Updated Terms will be posted on this page with a revised effective date. Continued use of the Service constitutes acceptance.
